Terms of Service
1. Acceptance of Terms
By accessing or using services provided by DevSignalTech (registered at 051774, Str. Botoșani nr. 36, București, Romania), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Service Scope
DevSignalTech provides software engineering, developer tooling, CI/CD pipeline design, and related technical services. Each engagement is governed by a specific statement of work (SOW) or proposal outlining deliverables, timelines, and pricing.
3. Payment Terms
All prices are listed in USD unless otherwise stated. Payment is required as outlined in the individual service agreement. Late payments may incur a 2% monthly interest charge. Services may be suspended for accounts overdue by more than 30 days.
4. Intellectual Property
Upon full payment, all deliverables and intellectual property created specifically for the client under a defined SOW are transferred to the client. DevSignalTech retains ownership of pre-existing tools, frameworks, and general methodologies used in service delivery.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives the termination of the service agreement for a period of 24 months.
6. Limitation of Liability
DevSignalTech's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
7. Termination
Either party may terminate a service agreement with 14 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Non-cancellable third-party costs incurred on behalf of the client remain payable.
8. Governing Law
These Terms are governed by the laws of Romania. Any disputes shall be resolved through arbitration in București, Romania, in accordance with the rules of the Bucharest Chamber of Commerce.
Refund Policy
1. Eligibility
Refund requests are evaluated on a case-by-case basis. Services rendered and completed deliverables are non-refundable. Partial refunds may be issued for work not yet completed at the time of cancellation.
2. Milestone-Based Refunds
For projects with defined milestones, if cancellation occurs before a milestone is completed, no payment is due for that milestone. Payments for completed milestones are non-refundable. A detailed milestone report will be provided upon request.
3. Request Process
To request a refund, contact DevSignalTech at [email protected] with your project details and reason for the request. Refund requests are reviewed within 5 business days. Approved refunds are processed within 14 business days to the original payment method.
4. Non-Refundable Items
The following are non-refundable: third-party software licenses procured on behalf of the client, domain registrations, hosting fees already incurred, and consulting hours already delivered. These costs are passed through at cost without markup.
5. Disputes
If a refund dispute cannot be resolved through direct communication, either party may invoke arbitration under the rules of the Bucharest Chamber of Commerce, in București, Romania. The decision of the arbitrator shall be final and binding.
